1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of ecom.hookneural.com (the "Site"), which is operated by Hook Neural, a brand of Toronto Growth Agency ("Hook Neural", "we", "us", or "our"). By accessing the Site, browsing its pages, or booking a strategy call through it, you agree to these Terms. If you don't agree with them, please don't use the Site.

These Terms apply to every visitor. If you're using the Site on behalf of a company or brand, you confirm that you're authorized to accept these Terms for that business.

2. What This Site Is and What We Do

This Site is a marketing website for Hook Neural's done-for-you, AI-driven e-commerce marketing services. We help direct-to-consumer (DTC) brands grow through services that include paid advertising (Meta, Google, and TikTok), creative production, conversion rate optimization, landing pages, email and SMS marketing, and influencer marketing.

The Site is informational. Its only action is booking a 20-minute strategy call through an embedded scheduling widget. We don't sell products here, we don't run a checkout, and we don't process payments on this Site.

Booking a call is a request for a conversation. It isn't a contract for services, and it doesn't obligate either of us to work together. If we do decide to work together, that engagement is governed by a separate written agreement that sets out the scope, fees, and terms. Nothing on this Site, and no strategy call, creates that engagement on its own.

3. Use of the Site

You may use the Site for your own lawful, informational purposes and to book a strategy call. In exchange, you agree not to:

• Use the Site in any way that breaks the law or infringes anyone's rights.
• Scrape, crawl, harvest, or copy content from the Site using automated tools without our written permission.
• Reverse engineer, decompile, or attempt to extract the source code behind the Site.
• Interfere with the Site's normal function, security, or availability, including by introducing malware or attempting unauthorized access.
• Submit false information through the booking form, or book calls in bad faith or to disrupt our scheduling.

We can suspend or block access to anyone who misuses the Site, and we may do so without notice.

4. Your Responsibility for Misuse

You agree to be responsible for your own use of the Site. If your misuse of the Site, your breach of these Terms, or your violation of the law or someone else's rights causes a claim, loss, or expense for Hook Neural or Toronto Growth Agency, you agree to cover the reasonable costs (including reasonable legal fees) that result. This is limited to matters within your control, and it doesn't apply to anything caused by our own conduct.

5. Intellectual Property

The Site and everything on it, including the text, copy, case studies, results, graphics, logos, layout, and the Hook Neural and Toronto Growth Agency names and marks, belongs to Hook Neural or is used with permission. It's protected by copyright, trademark, and other laws.

We're giving you permission to view this content for your own reference. That's it. You can't copy, republish, resell, or use our content or marks for your own commercial purposes without our written consent. Using our name or marks doesn't imply any partnership or endorsement unless we've agreed to it in writing.

6. Results Disclaimer

Any case studies, client outcomes, revenue figures, return-on-ad-spend numbers, or other results shown on the Site are real past results achieved for specific clients under specific conditions. We share them because we're proud of them, not as a forecast of what you'll get.

They aren't a promise, projection, or guarantee of future results. Marketing performance depends on many things we don't control, including your product, your offer, your margins, your market, your budget, and how the ad platforms behave over time. Your results may be different, and we don't guarantee any particular outcome. Any specific goals or expectations for a paid engagement will be set out in the separate written agreement, not on this Site.

7. Privacy

We care about how your information is handled. How we collect and use your information, including the details you submit through the embedded Calendly booking widget (like your name, email, phone number, and answers to short questions about your brand) and the usage data we collect through analytics, is described in our Privacy Policy. Our tracking and analytics tools, including the Meta Pixel and Conversions API, Google Analytics 4, Microsoft Clarity, and PostHog, are explained there as well.

By using the Site and booking a call, you agree to the practices set out in our Privacy Policy, so we'd encourage you to read it alongside these Terms.

8. Third-Party Links and Services

The Site uses and links to third-party services. The most important one is the embedded scheduling widget we use to book strategy calls, which is provided by Calendly. When you book a call, you're also using Calendly, and your information passes through their platform under their terms and privacy policy. The Site may also contain links to other third-party websites or tools. We don't control those services, and we're not responsible for their content, availability, security, or practices. Your use of any third-party service is between you and that provider, and we'd encourage you to read their terms and privacy policy before you use them.

9. Disclaimer of Warranties and Limitation of Liability

The Site is provided "as is" and "as available." To the fullest extent the law allows, we make no warranties of any kind about the Site, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Site will always be available, error-free, secure, or free of harmful components.

To the fullest extent the law allows, Hook Neural and Toronto Growth Agency won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, or lost business, arising out of or related to your use of the Site, even if we've been advised such damages were possible. Because no fees are charged and no payment is processed on this Site, our total liability to you for any claim connected to the Site is limited to one hundred Canadian dollars (CAD $100). Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada that apply there, without regard to conflict-of-laws rules.

You agree that any dispute arising out of or relating to these Terms or the Site will be handled by the courts located in Ontario, Canada, and you consent to their jurisdiction.

11. General Terms

These Terms, together with our Privacy Policy, make up the entire agreement between you and us for your use of the Site. They don't replace or override the separate written agreement that governs any paid services engagement, which stands on its own.

If any part of these Terms is found to be unenforceable, the rest stays in full effect. If we don't enforce a provision right away, that doesn't mean we've given up our right to enforce it later.

12. Changes to These Terms and Contact

We may update these Terms from time to time as our Site and services evolve. When we do, we'll change the "Last updated" date at the top of this page. Any changes take effect once they're posted, so it's worth checking back now and then. If you keep using the Site after we post an update, that means you accept the revised Terms.
